PC Jeweller Board Approves ₹1,000 Crore QIP, Plans to Increase Authorised Share Capital

PC Jeweller Ltd. has approved a proposal to raise up to ₹1,000 crore through a Qualified Institutions Placement (QIP) as part of its strategy to strengthen its capital base and support future growth. The decision was taken at the company’s Board meeting held on July 16, 2026.

Alongside the fundraising plan, the board also approved an increase in the company’s authorised share capital, subject to shareholder and regulatory approvals.

Board Decisions

The board approved increasing the authorised share capital from ₹1,310 crore to ₹1,460 crore by creating 150 crore additional equity shares with a face value of ₹1 each. The proposal will require approval from shareholders and other regulatory authorities.


The company also approved raising up to ₹1,000 crore through a QIP. The funds may be raised in one or more tranches through the issuance of equity shares or other eligible securities, in accordance with SEBI regulations.


To facilitate the process, the board constituted a Qualified Institutions Placement Committee, which will oversee pricing, appointment of intermediaries, regulatory filings and execution of the fundraising.
