Uday Narang Buys Stake in Prime Industries; Kay Bouvet Link Puts Focus on Strategic Sectors

A reported bulk deal involving Uday Narang, founder of Omega Seiki Mobility and promoter of OBSC Perfection Ltd, has put Prime Industries Ltd. in focus, particularly because both businesses have exposure to manufacturing and the rapidly expanding defence and aerospace ecosystem.


According to the bulk-deal details shared for Prime Industries, Narang reportedly purchased 1,93,342 shares of the company at an average price of ₹49.28 per share. The transaction is valued at approximately ₹95.28 lakh, with the reported holding representing around 1% of the company.


The reported transaction has attracted attention because of Narang’s existing manufacturing interests and OBSC Perfection’s growing presence in high-precision engineering, defence and aerospace.


Uday Narang and OBSC Perfection

Uday Narang is associated with the Anglian Omega Group and is the founder of Omega Seiki Mobility. He is also a promoter of OBSC Perfection Ltd, a precision metal-components manufacturer.


OBSC Perfection specialises in high-precision engineering components and has developed capabilities across CNC machining, investment casting, forging and stamping, among other manufacturing processes. The company primarily serves automotive OEMs but is also expanding into non-automotive sectors, including defence, aerospace, marine and other industrial applications.


Narang has previously described OBSC Perfection as one of the key companies within the group’s manufacturing ecosystem. The company has expanded its manufacturing footprint and added capabilities such as hot and cold forging and stamping as it looks to move into higher-value engineering segments.


OBSC’s recent investor presentation also highlighted its push into aerospace and defence, including plans for aerospace certification, growing defence business and additional forging capacity aimed at complex components for defence and aerospace applications.


Why Prime Industries Is Interesting

Prime Industries has been undergoing a strategic shift beyond its traditional business and has been building exposure to capital goods and specialised manufacturing.


A key part of this strategy was its investment in Kay Bouvet Engineering Ltd. (KBEL). Prime Industries acquired 48.69% of KBEL, which operates in heavy engineering and manufactures custom-designed equipment for sectors including nuclear, defence and aerospace.


Prime Industries itself stated that the investment represented a strategic entry into capital goods and special products for priority sectors such as nuclear, defence and aerospace.


Prime Industries’ Kay Bouvet Exposure

Kay Bouvet Engineering’s business is particularly relevant to the current market narrative around Prime Industries.


The company has capabilities in heavy engineering and serves industries where precision manufacturing and specialised engineering are critical. Prime Industries acquired 98.59 lakh shares of KBEL, representing 48.69% of its equity, as part of its broader diversification strategy.


However, investors should also note that the Kay Bouvet investment has faced challenges. Prime Industries’ annual report disclosed that the proposed one-time settlement with lenders did not receive the required approval and that lenders subsequently initiated Corporate Insolvency Resolution Process proceedings against KBEL. Prime Industries had also sought a refund of ₹12.50 crore deposited under the earlier arrangement.


This background is important when assessing Prime Industries’ overall exposure to the engineering and defence ecosystem.


Linga Agri Adds Another Manufacturing Angle

Prime Industries has also expanded through its acquisition of a controlling stake in Linga Agri Trading and Machinery Pvt. Ltd.


The company acquired 50.001% of Linga Agri, making it a subsidiary. Linga Agri has businesses spanning waste-management solutions, food-processing machinery, agricultural equipment and defence fabrication, giving Prime Industries another avenue for diversification beyond its earlier business operations.


The combination of these investments shows Prime Industries’ broader attempt to build a diversified business portfolio with exposure to manufacturing, engineering and priority sectors.


Why the Uday Narang Deal Is Being Watched

The reported purchase becomes interesting because of the overlap between Narang’s manufacturing interests and Prime Industries’ emerging exposure to defence, aerospace and specialised engineering.


On one side, OBSC Perfection is expanding its precision-manufacturing capabilities and targeting higher-value sectors such as defence and aerospace. On the other, Prime Industries has established an exposure to Kay Bouvet and expanded its portfolio through Linga Agri.


This does not, by itself, establish a partnership, acquisition, joint venture or other strategic arrangement between Uday Narang, OBSC Perfection and Prime Industries.


Instead, the reported bulk deal is being watched as a potentially interesting development because of the businesses and sectors connected to the parties involved.


What Investors Should Watch

The key question for the market will be whether the reported stake purchase remains a standalone investment or is followed by any formal disclosure involving Prime Industries and Narang or businesses associated with him.


For now, the reported transaction, combined with Prime Industries’ existing exposure to defence, aerospace, nuclear and engineering businesses, makes the stock worth watching for further corporate announcements and exchange filings.


Any future disclosure regarding a strategic investment, partnership, board-level association or business arrangement could provide greater clarity on the rationale behind the reported purchase.
