AGM Extension 2026: Companies Can Apply to ROC if Accounts Are Not Audited by September 30

Companies that may not be able to complete their audit and finalise financial statements before the September 30, 2026 AGM deadline can apply to the Registrar of Companies (ROC) for an extension of time to hold their Annual General Meeting.


Under Section 96 of the Companies Act, 2013, companies other than those holding their first AGM are generally required to conduct the AGM within six months from the close of the financial year. For companies with a March 31 year-end, this ordinarily makes September 30 the AGM deadline. The ROC may, for a special reason, extend the time for holding an AGM by up to three months.


Therefore, if a company expects that its accounts will not be audited and ready before September 30, it should consider making the extension application before the existing AGM due date. The extension is not automatic; the ROC has the authority to grant it based on the circumstances.


Companies should also note that failure to hold the AGM within the prescribed or extended period can attract penalties under Section 99 of the Companies Act.
