The National Stock Exchange of India (NSE) has taken a more cautious approach to its much-awaited initial public offering (IPO), cutting both the offer size and price range ahead of its market debut.
The NSE IPO will now have a price band of ₹1,700–₹1,785 per share, significantly below the earlier expected range of ₹2,000–₹2,100. At the upper end, the exchange is valued at around ₹4.42 lakh crore, or nearly $46 billion.
The revised pricing has also raised questions because NSE’s unlisted shares had been trading at higher levels in the private market.
Why Did NSE Reduce the IPO Size?
The reduction in IPO size is largely linked to the number of shares existing shareholders decided to offer.
The revised offer consists of around 12.64 crore shares, compared with nearly 14.89 crore shares proposed earlier. This represents a reduction of more than 15%.
NSE Managing Director and CEO Ashish Chauhan said shareholders were invited to tender shares before the draft prospectus was filed. The final IPO size was based on the number of shares shareholders were willing to sell at that stage.
Since the issue is entirely an Offer for Sale (OFS), NSE itself will not receive fresh capital from the IPO. The money raised will go to the existing shareholders selling their shares.
Why Is the IPO Price Lower Than Unlisted NSE Shares?
The biggest question surrounding the issue is the gap between the IPO price and the unlisted-market valuation.
The earlier expected price range was around ₹2,000–₹2,100 per share. The final band of ₹1,700–₹1,785 is therefore considerably lower.
The move appears to reflect a more conservative approach to valuation and investor demand. NSE’s bankers advised on the pricing, while the final offer size was determined by shareholder participation.
A lower IPO price could also make the issue more attractive to public-market investors and potentially provide room for the stock to perform after listing.
NSE’s Dependence on Options Trading
Another factor investors will be watching is NSE’s dependence on derivatives, particularly options.
More than 60% of NSE’s revenue comes from options transaction charges. However, regulatory changes affecting derivatives trading have created questions about the sustainability of this growth.
Changes involving retail options trading, funding norms, derivatives taxation and expiry-day trading have affected activity levels. NSE’s options volumes also declined year-on-year in August.
This makes diversification increasingly important for the exchange.
NSE’s Financial Performance
Despite these concerns, NSE remains one of India’s most profitable financial-market businesses.
For the quarter ended June 2026, NSE reported a 6.7% increase in net profit to ₹3,120 crore, while operating revenue rose 13% to ₹4,560 crore.
The company is also looking to reduce its dependence on weekly options as other businesses contribute a larger share of revenue.
When Will the NSE IPO Open?
The NSE IPO is scheduled to open for public subscription on September 17, 2026, and close on September 21.
The expected listing date is September 24, 2026.
At the upper price band of ₹1,785, the exchange’s valuation will be approximately ₹4.42 lakh crore ($46 billion).
The issue is expected to be one of India’s biggest IPOs, although the reduced size means it is unlikely to overtake Hyundai Motor India’s ₹27,870 crore IPO as the country’s largest-ever public issue.
What Does the Lower Price Mean for Investors?
The lower price could work in NSE’s favour if it encourages stronger demand from public-market investors.
However, investors will still need to consider the exchange’s high dependence on derivatives, regulatory risks and future trading-volume growth.
The key question is not simply whether NSE is a dominant exchange. It is whether the IPO valuation provides enough room for future growth.
With the IPO now priced below earlier expectations and below reported unlisted-market levels, investors will be closely watching whether the conservative pricing strategy translates into strong demand and a positive listing.
